Terms of Service
Effective Date: March 1, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Oprello platform, including our SDK, dashboard, APIs, and related services (collectively, the "Services"). By registering for an account, integrating our SDK, or otherwise using our Services, you agree to be bound by these Terms.
"Oprello," "we," "us," and "our" refer to Oprello GmbH, the Oprello platform operator. "You" and "Publisher" refer to the individual or entity using the Services.
2. Account Registration
To use the Services, you must create an account through our dashboard. You agree to:
- Provide accurate and complete registration information.
- Maintain the security of your account credentials.
- Promptly notify us of any unauthorized use of your account.
- Accept responsibility for all activity under your account.
3. Publisher Obligations
As a Publisher using Oprello, you agree to:
- Only integrate the SDK into applications that you own or have authorization to monetize.
- Not generate fraudulent or invalid ad traffic, including but not limited to: automated clicks, bots, click farms, or incentivized engagement.
- Maintain an accurate and up-to-date ads.txt file that includes Oprello as an authorized seller.
- Comply with all applicable laws and regulations, including privacy laws (GDPR, CCPA, COPPA) and platform policies (Apple App Store, Google Play).
- Properly implement consent management and set appropriate COPPA flags for child-directed content.
- Not modify, reverse-engineer, or decompile the SDK.
- Not place ads in a manner that could mislead users or generate unintentional clicks.
4. Ad Serving
Oprello operates as an SSP and ad exchange. We connect your ad inventory with demand-side platforms (DSPs) through OpenRTB 2.5 programmatic auctions. We do not guarantee any specific fill rate, eCPM, or revenue level. Ad availability depends on demand partner bids, user geography, device type, and other factors.
We reserve the right to reject or remove any ad creative that violates our policies, applicable laws, or industry standards (IAB, GARM).
5. Revenue & Payment
- Revenue is calculated based on valid, verified ad impressions and clicks. We reserve the right to deduct revenue attributable to invalid traffic.
- Unless otherwise specified in a separate insertion order, the default payment terms are: Net-60 payment cycle, minimum payout threshold of $100 USD, payment via bank transfer. Revenue share percentages are specified in your account settings.
- Oprello reserves the right to withhold payment if we reasonably suspect fraudulent activity, pending investigation.
- All amounts are in USD unless otherwise agreed.
6. Data & Privacy
Your use of the Services is subject to our Privacy Policy. As a Publisher, you are a data controller for your end users. You are responsible for:
- Disclosing the use of third-party advertising SDKs (including Oprello) in your app's privacy policy.
- Obtaining any required consent from end users before collecting data for personalized advertising.
- Accurately setting COPPA, GDPR, and CCPA flags in the SDK configuration.
7. Intellectual Property
The Oprello SDK, dashboard, APIs, documentation, and all related materials are owned by Oprello or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the SDK solely for the purpose of integrating Oprello ad serving into your applications.
You retain ownership of your applications and content. By using the Services, you grant Oprello a limited license to process your app and ad unit data as necessary to provide the Services.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OPRELLO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC REVENUE LEVEL WILL BE ACHIEVED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPRELLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID TO YOU BY OPRELLO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF NO AMOUNTS HAVE BEEN PAID IN SUCH PERIOD, THE LIABILITY CAP SHALL BE $1,000 USD.
10. Termination
Either party may terminate these Terms at any time by providing written notice. Upon termination:
- You must remove the Oprello SDK from all applications.
- Oprello will pay any outstanding revenue earned before termination, subject to our standard payment terms and fraud verification.
- We may immediately suspend or terminate your account if we detect fraudulent activity, policy violations, or illegal use.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles. The courts of Frankfurt am Main, Germany shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of the Services.
12. Modifications
We may update these Terms from time to time. We will notify you of material changes via email or dashboard notification at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
